In April and May 2020, our Partners Ms Angel Wong and Mr Michael Szeto, as well as our Senior Associates Mr Maxwell Chan and Mr Hugo Suen, gave a total of six webinars covering a wide range of corporate governance and corporate finance topics for the Hong Kong Institute of Certified Public Accountants (the “HKICPA”). The webinars were well received by over 450 attendees in total.

Corporate Governance Series

On 17 April 2020, our Partner Ms Angel Wong and our Senior Associate Mr Maxwell Chan gave a webinar on “Roles and Responsibilities of INEDs”, which explored the evolving roles and responsibilities of independent non-executive directors (“INEDs”) of listed companies in light of the changing regulatory requirements, illustrated by real-life cases of regulatory actions taken by the Stock Exchange of Hong Kong (“SEHK”) and the Securities and Futures Commission (“SFC”) against INEDs.

On 20 April 2020, our Partner Ms Angel Wong and our Senior Associate Mr Maxwell Chan gave a webinar on “Practical Guidelines on Disclosure Inside Information”, which discussed the implications of the updated rules and the steps for listed companies to manage inside information.

On 27 April 2020, our Partner Ms Angel Wong and our Senior Associate Mr Hugo Suen gave a webinar on “Crisis Management: Suspension and Resumption of Trading”, which discussed the new delisting regime in relation to listed companies subject to prolonged suspension of trading and reviewed different situations of suspension of trading and the relevant handling tactics.

On 7 May 2020, our Partner Mr Michael Szeto and our Senior Associate Mr Hugo Suen gave a webinar on “Regulatory Actions and Investigation against Listed Companies and their Officers”, which illustrated the related legal assurance and methods in tackling the investigations of SEHK and SFC.

On 15 April 2020, our Partner Ms Angel Wong and our Senior Associate Mr Maxwell Chan gave a webinar on “Different Ways of Fundraising for Listed Companies”, which summarised the different types of secondary fundraising including placing of shares and convertible instruments, open offer and rights issue.

On 29 April 2020, our Partner Ms Angel Wong and our Senior Associate Mr Maxwell Chan gave a webinar on “Conduct and Duties of Directors in Corporate Acquisitions or Disposals”, which provided guidance to company officers on how to handle corporate acquisitions or disposals from compliance prospective in light of SFC’s “Statement on the Conduct and Duties of Directors when Considering Corporate Acquisitions or Disposals”.
